Welcome to DesignPal. These Terms of Service (“Terms”) govern your access to and use of the website at designpal.io (the “Website”) and all related design subscription services (the “Services”) provided by DesignPal (“we,” “us,” or “our”).

By accessing the Website or using our Services, you agree to be bound by these Terms. If you do not agree, you may not use our Website or Services.

1. Modification of Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting the revised Terms on the Website with an updated “Last updated” date. Your continued use of the Services after any changes constitutes acceptance of the new Terms. We encourage you to review these Terms periodically.

2. Account Registration

To use certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that contain inaccurate information or violate these Terms.

3. Subscription Services

3.1 Plans and Billing

Our Services are offered on a monthly subscription basis. By subscribing, you authorize us to charge the applicable subscription fee to your designated payment method on a recurring monthly basis. All fees are non-refundable except as expressly stated in these Terms or required by law.

3.2 Pausing and Cancellation

You may pause or cancel your subscription at any time through your account dashboard or by contacting us. If you cancel, your subscription will remain active until the end of the current billing period. No partial refunds are provided for unused portions of a billing cycle.

3.3 Design Requests

Each subscription plan includes a specified number of active design requests that can be worked on simultaneously. Additional requests are queued and processed as active slots become available. We aim to deliver completed designs within the turnaround times stated for each plan, but turnaround times are estimates and not guarantees.

3.4 Revisions

All plans include unlimited revisions. Revisions must relate to the original design request. Requests that substantially change the scope or direction of the original brief may be treated as a new request.

4. User Content

4.1 Your Content

You retain ownership of all content, materials, and assets you submit to us through the Services (“User Content”). By submitting User Content, you grant us a limited, non-exclusive license to use, reproduce, and modify it solely for the purpose of providing the Services to you.

4.2 Prohibited Content

You agree not to submit content that:

  • Infringes any third-party intellectual property, trademark, or proprietary rights
  • Is unlawful, defamatory, obscene, or otherwise objectionable
  • Contains malicious code, viruses, or other harmful components
  • Violates any applicable law, regulation, or third-party rights
  • Impersonates another person or entity
  • Contains sensitive personal information of third parties without their consent

5. User Conduct

You agree not to:

  • Use the Services for any unlawful purpose or in violation of these Terms
  • Attempt to gain unauthorized access to any portion of the Services or related systems
  • Interfere with or disrupt the integrity or performance of the Services
  • Resell, sublicense, or redistribute the Services to third parties without our written consent
  • Use automated systems (bots, scrapers) to access the Services without authorization
  • Harass, threaten, or abuse our team members or other users

6. Intellectual Property

6.1 Deliverables

Upon full payment of the applicable subscription fee, you receive full ownership of all design deliverables created for you through the Services. This transfer of ownership occurs upon delivery and payment in full. You may use deliverables for any lawful commercial or personal purpose.

6.2 Our Intellectual Property

The Website, including its design, text, graphics, logos, icons, software, and all other content (excluding User Content and deliverables), is owned by DesignPal and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works of our intellectual property without our written permission.

6.3 Portfolio Usage

We may use completed deliverables in our portfolio, case studies, and marketing materials unless you request otherwise in writing. We will honor all confidentiality requests.

7. Copyright and DMCA Policy

We respect intellectual property rights and expect our users to do the same. If you believe that content on our Website or in our Services infringes your copyright, please see our DMCA Policy for instructions on how to submit a notice of infringement.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DESIGNPAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless DesignPal and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any third-party rights.

11. Termination

We reserve the right to suspend or terminate your account and access to the Services at our sole discretion, with or without notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination will survive.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

13. Miscellaneous

  • Entire Agreement: These Terms, together with the Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and DesignPal.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
  • Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
